Terms of Service

1. Acceptance

These Terms of Service ("Terms") govern your access to and use of the Akil platform, including app.useakil.com, api.useakil.com, the embeddable scheduling widget, hosted booking pages, and any related services (collectively, the "Service"). By creating an account, embedding the widget, or otherwise using the Service, you agree to these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization.

2. Eligibility

You must be at least 18 years old and able to form a binding contract. The Service is intended for business use and is not designed for personal/consumer scheduling.

3. Account

• You must provide accurate information at sign-up and keep it current.
• You are responsible for safeguarding your password and for all activity under your account.
• Workspaces are multi-tenant. Members of a workspace can see and act on shared data; admins can invite, remove, and change roles.
• Notify us promptly at hello@useakil.com of any unauthorized access.

4. Your data & your leads

• You retain all rights to the data you submit, configure, or route through the Service ("Customer Data"). You grant Akil a limited license to host, process, and transmit Customer Data solely to provide the Service.
• You are responsible for the lawful basis for processing your leads' personal data, including providing them with the disclosures required in your jurisdiction (GDPR, CCPA, etc.). The Akil widget is a tool you embed on your site; legal responsibility for lead consent sits with you as the controller.
• You will not route to Akil any data that is, by law or contract, prohibited from third-party processing without explicit additional safeguards (e.g. health, financial, or government-classified data) unless we agree in writing.

5. Acceptable use

You will not, and will not permit anyone else to:

• Use the Service to send unsolicited bulk email, spam, or harassment.
• Reverse-engineer, decompile, or attempt to extract the source code of the Service, except to the extent expressly permitted by law.
• Use the Service to build a directly competitive product.
• Probe, scan, or test the vulnerability of the Service without authorization (responsible disclosure is welcomed — see our Security page).
• Interfere with or disrupt the Service or the experience of other customers.
• Use the Service in violation of any applicable law or third-party right.

6. AI-generated content

Akil uses large language models to draft outreach and meeting briefings. These drafts are suggestions: they may contain inaccuracies, omissions, or content that does not match your voice. You are responsible for reviewing and approving anything sent on your behalf. Where the auto-send policy is enabled, you accept that drafts will be released after the configured window without further review.

7. Third-party services

Akil integrates with Google Calendar, HubSpot, Apollo, Resend, and other services you opt into. Your use of those services is governed by their own terms. We are not responsible for outages, errors, or changes in their APIs.

8. Fees

Akil is in early access. Pricing, billing terms, and any free-tier limits will be presented to you in-product before they take effect for your account. Continued use after a pricing change constitutes acceptance of the new pricing for the next billing period.

9. Confidentiality

Each party will protect the other's non-public information with at least the same care it uses for its own and will use it only to perform under these Terms.

10. Intellectual property

Akil and our licensors own all right, title, and interest in the Service, the widget, the dashboard, and all related software, documentation, and trademarks. Nothing in these Terms transfers any of those rights to you, except the limited license to use the Service while your account is active.

11. Suspension & termination

• You may close your account at any time from the dashboard or by contacting us.
• We may suspend or terminate access if we reasonably believe you have violated these Terms, if your account creates security or legal risk, or if non-payment continues after notice.
• Sections of these Terms that by their nature should survive (payment for services rendered, IP, confidentiality, indemnity, limitation of liability, governing law) survive termination.

12. Warranty disclaimer

The Service is provided "as is" and "as available." To the maximum extent permitted by law, Akil disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated content will be accurate.

13. Limitation of liability

To the maximum extent permitted by law, Akil's aggregate liability for any claim arising out of or relating to the Service will not exceed the greater of (a) the fees you paid to Akil in the twelve months before the event giving rise to liability, or (b) US$100. In no event will Akil be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill.

14. Indemnity

You will defend and indemnify Akil against third-party claims arising out of (a) your use of the Service in breach of these Terms, (b) Customer Data, or (c) your violation of any applicable law or third-party right.

15. Changes to the Service or these Terms

We may modify or discontinue parts of the Service at any time, and we may update these Terms. We will give reasonable notice of material changes (in-product banner or email). Your continued use after the effective date is acceptance of the updated Terms.

16. Governing law

These Terms are governed by the laws of the jurisdiction in which Akil is established. Once Akil is formally incorporated, this section will be updated and the change communicated to customers. Until then, the parties will attempt to resolve disputes in good faith, with mandatory arbitration or court venue to be designated in the updated Terms.
